A SAFE note, or a Simple Agreement for Future Equity, is an agreement for an investor to make a cash investment into a company in return for shares at a later date in connection with a specific event.

•Example events include: exit sales, IPO or funding rounds.

•A SAFE is not a debt instrument and is intended to be an alternative to convertible notes

How it works

  • Investor and investee company agree on a valuation cap and/or a discount rate
  • Investor pays company investment amount
  • Outstanding SAFE is referenced on the company’s capitalisation table like any other convertible securities
  • At triggering event, cash investment is converted into equity.

Who uses it

  • SAFE notes are intended for investment into very early-stage companies as they allow for investment before the valuation of the company is set.
  • It is also a tool for investors to use to invest in a company quickly, closing a deal where there is high funding competition and the investor does not wish to wait for the valuation price to be negotiated and finalised, especially where there are multiple investors in a funding round. This use is more common in the US than Australia.
